Terms and conditions of sale and delivery
General terms and conditions of sale and delivery only apply within Denmark.
§1 Offer and acceptance
(a) Any offer from Lumega is binding on the Buyer when accepted by the Buyer. Any offer accepted by the Buyer cannot later be changed by Lumega.
(b) Quotations from Lumega to the Buyer are valid for 30 days from issuance unless otherwise agreed in writing between Lumega and the Buyer. Orders cannot be canceled or modified, in whole or in part, without Lumega's written consent.
(c) An agreement is concluded when the Buyer's acceptance has been received by Lumega. The Buyer is fully entitled to resell the goods to sub-suppliers.
§2 Prices
(a) Prices are shown in catalogs and/or lists of goods.
(b) Prices are in DKK and do not include transportation, insurance or WEEE tax.
(c) All prices for light fittings include light sources and drivers, unless otherwise agreed in writing between Lumega and the Buyer.
(d) Prices include original packaging for the products. The packaging has a descriptive text as a sticker or printed on the packaging. The descriptive text will as a minimum include the following:
Description of the content, e.g. type of light source, wattage, voltage, current, product code, color, wattage (W), volt (V), CE marking, any rating (degree of protection of persons against access to dangerous parts 1, 2, 3 ).
For orders of more than 1,000 units of a product code, the Buyer will be free to change the design and layout of the packaging, including but not limited to the logo, EAN number and text.
(e) Prices include the requested documentation regarding the products that is necessary for any resale in Europe. Lumega has the following certificates: CE, RoHS Directive (EU Directive 2002/95/EC) and an EC Declaration of Conformity for all products. The buyer has at any time the possibility to receive and obtain the certificates regarding the purchased product.
(f) The figures stated for the products, prices include the complete package of the order, i.e. Lumega securely packs the products in cardboard, wooden or plastic boxes. The package must contain the products as well as safety packaging in the form of cardboard and/or foam.
(g) The Buyer must be informed of any change in the prices of the products within 7 days of the change. Price changes are not possible if offers have already been concluded and accepted.
§3 Products
(a) All products include instructions for use and/or instructions for installation in English unless otherwise agreed in writing between Lumega and the Buyer in each individual case.
(b) The IP Rating is tested in a professional laboratory. Products must bear a rating symbol (degree of protection for persons against access to HAZ-ardous parts) indicating a rating of 2 or 3.
(c) Products shall be labeled for volts (V), watts (W) and type.
(d) All products have CE marking that cannot be rubbed off. Lumega is responsible for the presence of the marking.
(e) In case of risk of access to dangerous parts, a PE conductor (green/yellow) must be installed from the wire connected to the body of the lamp.
§4 Warranty
Lumega's liability includes defects which are claimed within a 5-year period from the date of the original purchase. The obligation is subject to the buyer being able to prove that the goods have been installed, used, stored and maintained correctly and in accordance with professional electrical installation knowledge and Lumega's instructions.
Within a period of 5 years from the original purchase, Lumega will remedy documented defects by repair or replacement. If it is agreed between the Buyer and Lumega that Lumega is to remedy, only Lumega, including sub-suppliers, may perform the repair/replacement. If the Buyer uses anyone other than Lumega, including sub-suppliers, for any reason, the right to warranty is void.
The Buyer shall not be entitled or entitled to claim remedies for breach of contract other than this remedial obligation.
The warranty covers quality problems, defects and any other non-conformity that may impair the use and value of the products. The warranty does not apply if the luminaire is not used for the purpose for which it was designed. A luminaire is not considered defective solely as a result of the failure of individual LED components to emit light if the number of inoperable components is less than 10% of the total number of LED components in the luminaire.
(c) The warranty does not apply to loss or damage to the fixture resulting from: improper installation or placement of products, improper storage or maintenance, negligence, abuse, misuse, mishandling, damage resulting from fire, civil disturbance, vandalism, corrosive environment installations, power surges, improper power supply, electrical current fluctuations, induced vibration, harmonic oscillation or resonance associated with the movement of air currents around the luminaire, failure to comply with installation, maintenance or environmental instructions provided by Lumega or applicable electrical codes, or improper operation of the luminaire by anyone other than Lumega or its authorized service provider.
(d) The warranty only applies to new parts. Direct or indirect costs such as installation costs will not be reimbursed. Installation costs will only be covered if the Buyer has entered into and paid for a full service agreement with Lumega. Entering into such an agreement will make Lumega liable for electrical installation work in connection with the replacement of defective lighting.
(f) Lumega reserves the right to change the warranty at any time.
§5 Payment
(a) Payment shall be made after final acceptance of the offer. Payment terms are stated on the invoice.
(b) Payment is in DKK, unless otherwise agreed in writing between the Buyer and Lumega.
(c) For orders with a contract sum of less than DKK 75,000, payment is due no later than 8 days after delivery to the Buyer.
(d) For orders with a contract sum exceeding DKK 75,000, Lumega may assess whether the customer must pay 50% of the invoice amount no later than 4 days after the offer has been accepted and 50% no later than 8 days after delivery has taken place.
(e) If payment is not made on time, interest shall be charged at 1.5% per month or part thereof from the due date.
§6 Shipping
(a) All goods are shipped from Denmark unless otherwise agreed.
(b) Unless otherwise agreed, all transportation costs and expenses shall be paid by Buyer, including the cost of insurance against loss or damage during shipment.
(c) The Products will be shipped by carrier selected by Lumega. All costs in connection with the shipment must be paid by the Buyer.
(d) Lumega is responsible for the goods not being damaged or lost until delivery of the products to the carrier.
(e) Products shipped in batches not exceeding 70 kg and L 180 x W 120 x H 150 cm are shipped as packages. If a package/lot exceeds 70 kg, the products are shipped on pallets.
(f) The buyer may obtain information from Lumega on packaging, weight, number of packages and sizes. This information must be available to the buyer before production has commenced.
(g) Orders above 500 kg will be shipped by ship and shipment must be agreed between Lumega and the Buyer for each individual order.
§7 Delivery
(a) At the time of confirmation of orders, the delivery time for the products will be accepted by the Buyer. The delivery time will be calculated on the basis of the production time of the products and the total delivery time of the carrier.
(b) Lumega is responsible for delivery delay, but only in relation to production time and not for any delays at the carrier.
(c) In the event that the delay is attributable to Lumega's responsibility and a solution cannot be found within 10 calendar days, the Buyer is entitled to cancel the order without incurring any costs. However, it is the Buyer's responsibility to notify Lumega in writing of a cancellation of the purchase on the 10th calendar day. In case such a delay occurs and Lumega has received prepayment, this amount must be refunded within 14 days to the Buyer. Cancellation of an order cannot take place after the goods have been delivered to the Buyer, please refer to §8 on return of products.
§8 Return of products
((a) Return of products must be agreed in writing between the Buyer and Lumega.
(b) All costs, including transportation and shipping, etc. shall be paid by the Buyer.
(c) Products must be returned in original unopened packaging.
(d) In case of return, Lumega will charge 35% of the order amount. Lumega is entitled to refuse the return of products.
(e) Lumega is fully entitled to refuse the return of the products.
§9 Responsibility
(a) Buyer is in no way responsible for the production of Lumega of the Products.
(b) Lumega is not responsible for any delays in delivery or failure to perform due to acceptance of prior orders, strike, fire, accident, lockout, riot, war, delays caused by any subcontractor or supplier or by Buyer, technical difficulties, failure or breakdown of machinery or components necessary for order completion, inability to obtain or substantial increases in the price of labor or materials or manufacturing facilities, curtailment of or failure to obtain adequate electrical or other energy supplies, or compliance with any law (force majeure).
(c) Lumega is not liable for consequential damages to the Buyer or the Buyer's loss of income or other indirect losses.
(d) Lumega's total liability with respect to a defective luminaire is in any event limited to the purchase price of the defective product.
(e) Lumega guarantees that no child labor will be used in production.
§10 Copyright in images and text
The Buyer shall be entitled to use all images and texts provided by Lumega as seen on Lumega's website and catalog. However, all copyrights belong to Lumega.
Lumega is entitled to photograph and film the delivered products in their surroundings at the Buyer's premises.
